Welcome to ptgmarkets.org (the “Site”). The Site is operated by PTG Markets (“PTG”, “we”, “us”, or “our”). These terms of use (these “Terms”) govern your access to and use of the Site. Your use of the Site constitutes your agreement to these Terms. Please read these Terms carefully and keep a copy of them for your reference. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Electronic Communications

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained on the Site or in any content included therein and will not make any changes to any of the foregoing.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal and non-commercial use, strictly in accordance with these Terms. You agree that you do not acquire any ownership rights in or to the Site or any content included therein. We do not grant you any licenses, express or implied, to the intellectual property (including trademarks) of PTG or our licensors except as expressly set forth in these Terms.

Without limiting the foregoing, any news items, press releases, statements, comment letters, reports, PDFs and other materials made available on the Site may be subject to additional restrictions set forth in these Terms or in the applicable material itself.

User Representations

By using the Site, you represent and warrant that: (1) all information you submit will be true, accurate, current, and complete; (2) you have the legal capacity and you agree to comply with these Terms; and (3) you are not a minor in the jurisdiction in which you reside.

Prohibited Uses

As a condition of your use of the Site, you warrant to PTG that you will not use the Site for any purpose that is unlawful, fraudulent or prohibited by these Terms. Further, you may not:

use the Site in any manner that could damage, disrupt, disable, overburden, or impair the Site or interfere with any other party’s use or enjoyment of the Site;
interfere or attempt to interfere with the proper working of the Site or any of the Site’s security features;
introduce or attempt to introduce any malicious or technologically harmful material, including any viruses, worms, Trojan horses or other contaminants into the Site;
obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site;

Termination

These Terms shall remain in full force and effect while you use the Site. If you violate these Terms, your permission to use the Site and the license granted above automatically terminate. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION. Please be advised the Site is hosted in the United States. If you access the Site from the European Union, Asia, or any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Site, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Site.

There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

Governing Law; Venue

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Texas, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms. Any claim or cause of action arising out of or relating to the Site or these Terms must be commenced within one (1) year after the cause of action accrues, or such claim or cause of action is permanently barred.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PTG, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH (A) THESE TERMS, (B) THE USE OR PERFORMANCE OF THE SITE, (C) THE DELAY OR INABILITY TO USE THE SITE, (D) ANY LINKED SITES, OR (E) ANY CONTENT ON THE SITE OR LINKED SITES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF PTG, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SOME OR ALL OF THE ABOVE DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU.

IF YOU ARE DISSATISFIED WITH THE SITE, ANY MATERIALS OR OTHER CONTENT MADE AVAILABLE THROUGH THE SITE, OR ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Indemnification

You agree to indemnify, defend and hold harmless PTG, its affiliates, and their respective officers, directors, employees, and agents from and against any and all losses, damages, costs, liabilities and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use the Site, your violation of these Terms, your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. PTG reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with PTG in asserting any available defenses.

Severability

If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the disclaimer of warranties and limitation of liability set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms shall continue in effect.

Waiver

Our failure or delay in exercising any right or remedy hereunder shall not operate as a waiver thereof.

Entire Agreement

Unless otherwise specified herein, these Terms and our Privacy Policy, which is hereby incorporated by reference, constitute the entire agreement between you and PTG with respect to the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and PTG with respect to the Site. A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Changes to these Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Site after the date such revised Terms are posted.
